These Terms of Service (“Terms”) explain the rules for using the websites, applications, platforms, communication systems, support services, administrative portals, billing systems, and related services operated by ENS Creative Studios Ltd, trading as UGMail (“UGMail”, “Provider”, “we”, “our”, or “us”).
By accessing, browsing, registering for, purchasing, subscribing to, or using any part of our services (the “Services”), you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must stop using all Services immediately.
1. Key Definitions
Understanding these terms will help you know how the agreement applies to you.
1.1 Services
“Services” means all products, software, applications, systems, infrastructure, communication tools, websites, email hosting services, support services, platforms, and related technologies provided by UGMail.
1.2 User
“User” means any individual, business, organization, institution, company, or other entity that accesses or uses the Services.
1.3 Account
“Account” means any registered user profile, mailbox, subscription, administrative account, or access credential associated with the Services.
1.4 Customer Data
“Customer Data” means any emails, files, messages, records, domains, communications, configurations, settings, or other information processed, stored, transmitted, or hosted through the Services.
1.5 Platform
“Platform” means all websites, applications, systems, portals, interfaces, and technologies operated under UGMail.
2. Acceptance of These Terms
2.1 Eligibility to Enter into These Terms
By using the Services, you represent and warrant that:
You have the legal capacity to enter into binding agreements under applicable law.
If you are using the Services on behalf of an organization or other legal entity, you are authorized to bind that entity to these Terms.
You will comply with these Terms and all applicable laws, regulations, and industry standards.
2.2 If You Do Not Agree
If you do not agree with any part of these Terms, you must immediately stop using the Services.
3. Eligibility and Permitted Use
3.1 Intended Use
The Services are intended for lawful business, professional, organizational, institutional, educational, and commercial communications.
3.2 Prohibited Use
You may not use the Services for any unlawful, fraudulent, abusive, harmful, unauthorized, or deceptive purpose. This includes any activity that violates laws, regulations, or these Terms.
3.3 Right to Refuse Service
UGMail may, at its sole discretion, refuse, suspend, restrict, or terminate access to the Services when necessary for operational, legal, regulatory, security, compliance, or business reasons.
4. Services Provided
4.1 Scope of Services
UGMail may provide, among other services:
Professional business email hosting
Webmail services
Mobile and desktop applications
Administrative and collaboration tools
Domain integration services
Email security and storage infrastructure
Technical support and customer assistance
4.2 Subscription-Based Features
Features, storage limits, functionality, and support levels may differ depending on the subscription plan you choose. Details are provided at the time of purchase or subscription.
4.3 Service Modifications
UGMail may modify, enhance, replace, suspend, or discontinue any part of the Services at any time. While we may make reasonable efforts to provide notice, we are not obligated to maintain any specific feature or functionality.
5. Account Registration and Security
5.1 Account Requirement
Some Services require you to create an Account.
5.2 Accurate Information
You agree to provide accurate, complete, and up-to-date information when registering and maintaining your Account.
5.3 Your Responsibilities
You are solely responsible for:
Keeping your passwords and authentication credentials confidential
Managing authorized users within your organization
Securing the devices and networks you use to access the Services
All activities that occur under your Account
5.4 Unauthorized Access
UGMail is not responsible for losses arising from unauthorized access caused by:
Weak or reused passwords
Sharing credentials with others
Phishing or social engineering attacks
Compromised devices
Security failures on your side (e.g., unpatched systems, lack of antivirus)
6. Acceptable Use Policy
6.1 Prohibited Activities
You agree not to use the Services to:
Send spam or unsolicited bulk communications
Conduct phishing, fraud, impersonation, or other deceptive activities
Distribute malware, ransomware, viruses, or other harmful code
Infringe or violate intellectual property rights
Harass, threaten, abuse, or harm others
Interfere with or disrupt networks, systems, or infrastructure
Bypass or attempt to bypass security controls or usage limits
Engage in activities that may damage the reputation or integrity of UGMail
6.2 Enforcement
UGMail may investigate suspected violations of this policy. We may suspend, restrict, or terminate Accounts and, where necessary, report offending Accounts to relevant authorities without prior notice.
7. Billing, Payments, and Subscriptions
7.1 Paid Services
Some Services require payment of subscription fees or other charges.
7.2 Billing Terms
Pricing, billing cycles, renewal schedules, service limits, and payment requirements are shown during purchase or subscription. By subscribing, you agree to these billing terms.
7.3 Non-Payment
If you fail to pay applicable fees, UGMail may:
Suspend your Services
Restrict your access
Deactivate your mailbox
Terminate your Account
Delete Customer Data in line with Section 13
7.4 Refund Policy
Unless required by law or expressly agreed in writing, all payments are non-refundable.
7.5 Pricing Changes
UGMail may change pricing, service limits, features, storage allocations, or subscription structures. We may provide notice before such changes take effect. Continued use after changes become effective means you accept the new terms.
8. Domain Responsibilities
8.1 Ownership
Unless we explicitly agree otherwise in writing, you are responsible for the ownership, registration, renewal, and management of your domains.
8.2 DNS Configuration
UGMail may assist with DNS records such as MX, SPF, DKIM, and DMARC. However, you remain responsible for:
Access to your domain registrar account
Renewing your domains on time
Managing DNS settings
Maintaining valid domain ownership
8.3 Domain-Related Interruptions
UGMail is not responsible for service failures caused by:
Expired domains
Incorrect or misconfigured DNS records
Actions taken by your registrar
Failures of third-party DNS providers
Domain ownership disputes
9. Security
9.1 Our Security Measures
UGMail uses commercially reasonable administrative, technical, and organizational safeguards to protect Customer Data and our platform infrastructure.
9.2 No Absolute Guarantee
No internet-based service can be 100% secure. By using the Services, you accept this inherent risk.
9.3 Your Security Responsibilities
You are responsible for:
Protecting your login credentials
Maintaining security on your devices and networks
Implementing internal security controls (e.g., access policies, user training)
Monitoring your Account activity for suspicious behavior
Enforce additional security measures, such as 2FA, for all users with direct access to your organization’s UGMail accounts and mailboxes.
9.4 Security-Based Restrictions
UGMail may suspend or restrict access to the Services when necessary to protect platform integrity, investigate abuse, or respond to security threats.
10. Privacy and Data Processing
10.1 How We Process Data
UGMail may collect, process, store, and use information as needed to:
Operate and deliver the Services
Process payments
Provide customer support
Detect abuse, fraud, and security threats
Improve service quality and performance
Comply with legal and regulatory obligations
10.2 Privacy Policy
Your use of the Services is also governed by the UGMail Privacy Policy, which is incorporated into these Terms. You should review the Privacy Policy to understand how we handle your information.
10.3 Third-Party Processing
UGMail may use third-party providers (such as cloud hosting, telecommunications, payment processors, infrastructure vendors, and technical service providers) to operate the Services. These providers may process data on our behalf under appropriate safeguards.
11. Third-Party Services
11.1 Third-Party Dependencies
Some features of the Services rely on third-party services or infrastructure (for example, internet service providers, data centers, or integrated apps).
11.2 Availability Disclaimer
UGMail does not guarantee uninterrupted availability or performance of any third-party services, APIs, integrations, or infrastructure.
11.3 Third-Party Failures
UGMail is not liable for interruptions, delays, losses, or failures caused by third-party providers.
12. Intellectual Property
12.1 Ownership Rights
All software, technology, branding, trademarks, service marks, interfaces, content, documentation, designs, and systems associated with UGMail are owned by ENS Creative Studios Ltd or its licensors.
12.2 Restrictions on Use
Except where expressly permitted, you may not:
Copy or reproduce the Services or any part of them
Reverse engineer, decompile, or attempt to extract source code from our software
Create derivative works based on the Services
Resell, sublicense, or otherwise exploit the Services without our written authorization
All rights not expressly granted to you are reserved by UGMail and its licensors.
13. Data Retention and Termination
13.1 Data Management
UGMail may retain, archive, suspend, delete, or remove Customer Data in line with operational needs, your subscription status, legal obligations, and our internal policies.
13.2 Data Loss Upon Termination
If your Account is terminated, suspended, expires, or is deleted, your Customer Data may be permanently lost. Deleted data may not be recoverable.
13.3 Your Backup Responsibility
You are solely responsible for maintaining your own independent backups of important data. UGMail does not guarantee that deleted Customer Data can be restored or recovered.
14. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.
UGMail disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of:
Merchantability
Fitness for a particular purpose
Non-infringement
Uninterrupted or error-free operation
Security, reliability, or availability
15. Limitation of Liability
15.1 Exclusion of Certain Damages
To the maximum extent permitted by law, UGMail will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.
15.2 Specific Exclusions
UGMail will not be liable for:
Loss of profits or revenue
Loss of business opportunities or contracts
Data loss or data corruption
Service interruptions or downtime
Security breaches or cyberattacks
Reputational damage
Failures of third-party services
Internet or telecommunications failures
15.3 Liability Cap
UGMail’s total aggregate liability arising out of or related to the Services will not exceed the total amount you paid for the affected Services during the three (3) months immediately before the event giving rise to the claim.
16. Indemnification
You agree to defend, indemnify, and hold harmless UGMail, ENS Creative Studios Ltd, and our officers, directors, employees, contractors, affiliates, and partners from and against any claims, damages, liabilities, costs, losses, or expenses (including reasonable legal fees) arising from:
Your use of the Services
Your violation of these Terms
Your violation of any applicable laws or regulations
Any claims relating to Customer Data or communications sent through your Account
17. Changes to These Terms
17.1 Updates
UGMail may update or revise these Terms at any time.
17.2 How Changes Are Communicated
Updated versions of the Terms may be published on UGMail websites, within applications, in customer portals, or via other official communication channels.
17.3 Acceptance of Changes
If you continue to use the Services after revised Terms become effective, you are deemed to have accepted the updated Terms.
18. Governing Law and Dispute Resolution
18.1 Governing Law
These Terms are governed by and will be interpreted in accordance with the laws of the Republic of Uganda.
18.2 Jurisdiction
Any dispute arising from or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts of Uganda.
